\nExtracts of the Minntes of the
\nMeeting of the Board of Directors of
\nAabar Investments PJSC
\nHeld at 2.30 p.m. on 24 September 2008
\nThe Board of Directors (the “Board”) of Aabar
\nInvestments Company PJSC (the “Company”)
\nhas resolved that:
\nI. (a) the purchase agreement to be entered into
\nbetween the Company and the International
\nPetroleum Investment Company (“IPIC”) in
\nrespect of IPIC’s subscription of mandatory
\nconvertible bonds of principal value of AED
\n6,684,000,000 (the “IPIC Bond Agreement”)
\nbe noted, approved, adopted and executed;
\n(b) the terms of the IPIC Bond Agreement
\nwith such amendments as are authorised by any
\nDirector of the Company or the Chief Financial
\nOfficer of the Company (being Mohamed
\nBadawy Al-Husseiny as at the date of these
\nResolutions) or the General Counsel of the
\nCompany (being Kelvin Tang as at the date of
\nthese Resolutions) (each Director o
\nCompany, Mohamed Badawy AI-Husseiny and
\nKelvin Tang hereinafter referred to as the
\n“Anthorised Signatories”), and the
\ntransactions contemplated thereby, be and are
\nhereby approved and ratified;
\n(c) anyone of the Authorised Signatories, be
\nand is hereby severally authorised to execute
\nand deliver the IPIC Bond Agreement on
\nbehalf of the Company, substantially in the
\nform circulated to the Directors with such
\namendments (including any amendments in
\nmanuscript) as he in his sole discretion thinks
\nfit and that his signing or other execution
\nthereof be conclusive evidence of his approval
\nof any amendments;
\n(d) anyone of the Authorised Signatories, be
\nand is hereby severally authorised to sign
\nand\/or despatch on behalf of the Company any
\nnotice, certificates, letters or other documents
\nunder or in connection with the IPIC Bond
\nAgreement;
\n(e) the Common Seal of the Company be
\n)
\naffixed in accordance with the Company’s
\nMemorandum and Articles of Association to
\nIPIC Bond Agreement or amendments or other
\ndocuments pursuant to (c) and (d) above, if
\nrequired;
\n(f) each Authorised Signatory shall be
\nseverally authorised:
\n(i) to sign and despatch on behalf of the
\nCompany all documents and notices
\nrequired to be signed or despatched;
\n(ii) to act with any other authorised
\nsignatory on behalf of the Company to
\nexecute and deliver any agreement,
\npower of attorney, deed or other
\ndocument required to be executed and
\ndelivered; and
\n(iii)to do all other acts and things,
\nas he may consider necessary or desirable In
\nconnection with the IPIC Bond Agreement.
\nNote: Khadem Abdulla Al Qubaisi and
\nAlyazia Ali Al Kuwaiti abstained from voting
\non this resolution i on account of them
\nholding senior management positions witlzin
\nthe International Petroleum investment
\nCompany.
\n2. the resignation of Mr. Abubaker Seddiq AI
\nKhouri as director of the Company be accepted
\nwith immediate effect;
\n3. Dr. Gerhard Roiss be appointed as a director of
\nthe Company with immediate effect; and
\n4. Mr. Khadem Abdulla Al Qubaisi be appointed
\nas acting chief executive officer of the
\nCompany with immediate effect.
